M. Michele Burns Biography

She served on all three of the Board's committees throughout her time at Wal-Mart and headed both the Compensation, Nominating, and Governance Committee and the Strategic Planning and Finance Committee. She is also a member of the Elton John AIDS Foundation's Board of Directors, where she occupies the position of Treasurer. Ms. Burns graduated from the University of Georgia with a bachelor's degree in business administration and a master's degree in accounting. Ms. Burns was Chief Financial Officer, Chief Restructuring Officer, and Executive Vice President of Mirant Corp. from 2004 to 2006, where she was in charge of the company's financial activities as well as investor relations. She led the development of a new capital structure and reorganization plan as Chief Restructuring Officer, two critical components in Mirant's exit from chapter 11. From 2000 until 2004, she served as Executive Vice President and Chief Financial Officer of Delta Air Lines, Inc. Beginning in January 1999, she worked in Delta's finance and tax department in a variety of capacities. Ms. Burns began her career at Arthur Andersen and climbed through the ranks to Senior Partner, managing the Southern Region Federal Tax Practice, the U.S. Healthcare Practice, and the Southeastern Region Financial Services Practice, as well as serving on the firm's Global Advisory Council. Ms. Burns is presently a member of the Goldman Sachs Group, Inc. and Cisco Systems Inc. Boards of Directors. Goldman Sachs' Audit Committee is chaired by her. Ms. Burns formerly served on the Wal-Mart Stores, Inc. Board of Directors from 2003 until 2013.
