About Guhan Subramanian
Guhan Subramanian Biography
Guhan Subramanian is the H. Douglas Weaver Professor of Business Law at Harvard Business School and the Joseph Flom Professor of Law and Business at Harvard Law School. He is the only individual in Harvard University history to hold tenured posts at both Harvard Law School and Harvard Business School. He teaches negotiating and business law courses at Harvard Law School. He lectures in numerous executive education programs at HBS, including Strategic Negotiations, Changing the Game, and Increasing the Effectiveness of Corporate Boards. He is the faculty chair for Harvard University's JD/MBA program and the Harvard Program on Negotiation's Vice Chair for Research. He worked for McKinsey & Company in New York, Boston, and Washington, D.C. for three years before joining the Harvard faculty. Professor Subramanian's research focuses on subjects such as corporate dealmaking, negotiation, and deal process design. Among other publications, he has papers in the Stanford Law Review, Yale Law Journal, Harvard Business Review, and Harvard Law Review. The Wall Street Journal's Heard on the Street blog, the New York Times, the American Lawyer, The Deal, and Corporate Control Alert have all highlighted his work. His recent book, Negotiauctions: New Dealmaking Strategies for a Competitive Marketplace (Norton 2010), brings together the results of his ten years of study and teaching. Professor Subramanian has worked on major public-company transactions such as Oracle's $10.3 billion hostile takeover bid for PeopleSoft, Cox Enterprises' $8.9 billion minority shareholder freeze-out, the $6.6 billion leveraged buyouts of Toys R Us, and Exelon's $8.0 billion hostile takeover bid for NRG. He also provides dealmaking and corporate governance advice to individuals, boards of directors, and management teams. Professor Subramanian graduated from Harvard University with degrees in Economics, Law, and Business. With his wife and two children, he resides in Newton, Massachusetts.
