Since February 2005, Godfrey R. Sullivan has served as a director of the Company. Mr. Sullivan is the President and Chief Executive Officer of Splunk, Inc., a search software business in the information technology industry. Mr. Sullivan was President and Chief Executive Officer of Hyperion Solutions Corporation, a publicly listed software firm that was bought by Oracle Corporation in April 2007. Mr. Sullivan served as President and Chief Operating Officer of Hyperion from 2004 until its acquisition by Oracle in April 2007. Mr. Sullivan was the Chief Executive Officer of Promptu Corporation, an enterprise marketing automation software firm, from 2000 to 2001. Mr. Sullivan held top executive roles at Autodesk, Inc., a design software and digital media firm, from 1992 to 2000, including President, Discreet Division and Executive Vice President, Personal Solutions Group. Mr. Sullivan serves on the Audit, Finance, Nominating and Corporate Governance, and Nominating and Corporate Governance Committees. The Board of Directors has concluded that Mr. Sullivan is “independent” under the Company's director independence criteria and The Nasdaq Stock Market, LLC's director independence requirements. In Washington, DC, Mr. Sullivan attended the NACD Annual Corporate Governance Conference as well as the Executive and Director Compensation Seminar.
